Subject: Question Concerning Item 7(c)(iv)(b) in HSR Form

Good Afternoon:

Our firm is preparing two Notification Reports and Forms for Certain Mergers and Acquisitions concerning a proposed transaction between two nonprofit entities. In response to Item 7(c)(iv)(b), the filing parties compiled and finalized comprehensive lists of the overlapping NAICS codes with associated States, Cities, and Counties to append to the Form; however, the filing parties collectively have a significant number (a minimum in excess of 500) of street addresses that need to be compiled.

The parties desire to file the Forms today and append the comprehensive lists of the overlapping NAICS codes with associated States, Cities, and Counties as Attachments in the interests of timely facilitating review of the Forms. Upon submitting the Forms and associated Attachment (lists of the overlapping NAICS codes with associated States, Cities, and Counties), would the Premerger Notification Office consider this filing “accepted” for review and allow the parties an opportunity to supplement the current list with a list also containing street addresses? Both nonprofit entities would need to dedicate material resources to compiling this volume of addresses and formatting the list in accordance with the FTC’s , but desire to provide the Forms and all other finalized materials as timely as possible.
